TikTok has finalized a deal で「TikTokがある合意を成立させた」です。
finalize a deal で「契約を終わらせる、合意を成立させる」という意味の言い回し。
deal は「取引、合意、契約」です。
どんな合意かというと、
to create a new American entity, で「新たなアメリカ法人を設立するという（合意）」です。
entity は「実在、存在」という意味ですが、ビジネス文脈では「企業体、法人格」という意味になります。
分詞構文で繋げて、
, avoiding ～「～を避けて」
the looming threat of ～「～という迫りくる脅威（を避けて）」です。
loom は「ヌッと現れる、ぼんやりと巨体を現す」という意味の動詞。
looming で「問題などが迫ってくる、のしかかってくる」という意味になります。
